1. Acceptance of Terms

By accessing our website or engaging Cactograph for web development services, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you must not use our services. These terms apply to all clients, visitors, and users of Cactograph's services.

2. Services Provided

Cactograph provides web development services including but not limited to: Shopify development, WordPress development, custom web development, e-commerce solutions, website redesigns, SEO optimization, and website maintenance. The specific scope of services will be defined in a separate project agreement or proposal agreed upon by both parties before work begins.

3. Project Agreements and Scope

All projects begin with a written agreement outlining the scope of work, deliverables, timeline, and pricing. Any requests for work outside the agreed scope will be treated as a change request and may result in additional fees. We reserve the right to decline any project or request that conflicts with our policies or capabilities.

4. Payment Terms

• A deposit of 50% of the total project fee is required before work begins.
• The remaining balance is due upon project completion and before final files or site access are transferred.
• All prices are in US dollars. Payments are accepted via bank transfer, PayPal, or other agreed methods.
• Late payments beyond 14 days of the due date may incur a late fee of 1.5% per month on the outstanding balance.
• Work will be paused on projects with overdue payments until balances are settled.

5. Revisions and Change Requests

The number of revisions included in each plan is outlined in our pricing. Revisions outside the agreed scope will be billed at our standard hourly rate. A revision is defined as a minor adjustment to existing work. Significant changes to the original design or scope are considered new requests and will be scoped and priced separately. All revision requests must be submitted in writing.

6. Client Responsibilities

Clients are responsible for providing timely access to necessary accounts, content, and feedback. Delays caused by the client (e.g., delayed content delivery, slow feedback response) may result in adjusted timelines. Cactograph is not responsible for delays caused by client inaction. Clients must ensure that all content provided to us does not infringe on third-party copyrights, trademarks, or other intellectual property rights.

7. Intellectual Property

Upon receipt of full payment, the client receives full ownership of the final website design and code created specifically for their project. Third-party elements (themes, plugins, stock images, licensed fonts) remain subject to their respective licenses. Cactograph retains the right to showcase completed work in our portfolio unless the client requests confidentiality in writing.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This includes business strategies, financial data, login credentials, and any other information marked as confidential. This obligation survives the termination of our working relationship.

9. Delivery and Acceptance

Upon completion, the finished website will be delivered to the client for review. The client has 7 business days to review and report any defects or issues covered under the agreed scope. Failure to provide feedback within this period will be deemed acceptance of the deliverables. Bug fixes for issues within the original scope are provided at no additional cost within 30 days of launch.

10. Cancellation Policy

If a client cancels a project after work has begun, the deposit is non-refundable. If cancellation occurs after more than 50% of the work is complete, the full project fee may be due. Cactograph reserves the right to cancel a project if the client breaches these terms, and will refund fees for work not yet completed.

11. Limitation of Liability

To the maximum extent permitted by law, Cactograph shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or in connection with our services. Our total liability to you shall not exceed the total amount paid by you for the specific project giving rise to the claim.

12. Warranty Disclaimer

Our services are provided "as is" without warranty of any kind, express or implied. We do not warrant that our services will be error-free or uninterrupted. We are not responsible for issues arising from third-party platforms (such as Shopify or WordPress) including platform downtime, policy changes, or compatibility issues arising after project delivery.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Berrien County, Michigan.

14. Modifications to Terms

Cactograph reserves the right to update or modify these Terms of Service at any time. Updated terms will be posted on our website. Continued use of our services after such changes constitutes acceptance of the new terms. It is your responsibility to review these terms periodically.
